Thank you for purchasing CREATE YOUR OFFER WORKSHOP ("Virtual Workshop"). All sales are final for this Workshop. By clicking “Buy Now,” “Complete Order,” or any other phrase on the purchase button, entering your credit card information, or otherwise rendering payment (either in full or partial) for the Workshop, you (“you(r)” or “Customer”) agree to be provided with Create Your Offer Workshop with PowerFemme (“Company” or “we”), and you are executing a legally binding agreement with the Company subject to the following terms and conditions:

INTRODUCTION

Welcome to Create Your Offer Workshop (“Workshop”). This Terms of Service Agreement (“Agreement”) sets forth the agreement between PowerFemme (“Company” or “we”) and each user (“you” or “Customer”) governing the use by you of this Workshop. Please read this Agreement carefully before purchasing this Workshop. By purchasing this Workshop, you agree to be bound by the terms and conditions contained in this Agreement. If you do not agree to the terms and conditions contained in this Agreement, you may not purchase, access, or otherwise use this Workshop.

We reserve the right to change these Terms of Use at any time. Such changes shall be indicated on the Workshop and shall become effective upon posting them to the Workshop. We will notify you of any material changes to these Terms by posting a notice on the homepage of the Workshop for a reasonable period of time after such changes are made that these Terms have been updated. In the event we offer any additional or replacement services, then these Terms shall apply to such services in the absence of any new agreement specific to such services. By continuing to use this Workshop after such changes are posted, you acknowledge that you have read and understood the revised terms and conditions and that you agree to be bound by all changes.

We reserve the right to modify the data protection measures and the present privacy policy should it become necessary. We shall notify you of any changes on our Workshop.

Should you wish to exert your right of viewing, correcting, terminating, or removing any personal information, please contact us. We will meet your request in a reasonable period of time and after proof of your identity, provided that we do not infringe any legal provisions by so doing.

INTELLECTUAL PROPERTY

You acknowledge that all materials in the Workshop, including the Workshop’s design, graphics, text, sounds, pictures, software, and other files and the selection and arrangement thereof (collectively, “Materials”), are the property of PowerFemme or its licensors and are subject to and protected by United States and international copyright and other intellectual property laws and rights. All rights to Materials not expressly granted in this Agreement are reserved to their respective copyright owners.

Except as expressly authorized by this Agreement or in the Workshop, copying, downloading, or using any content contained on this Site, including, without limitation, documents, pictures, sound documents, video sequences, or any other copyrighted or copyrightable materials is not allowed without our prior and explicit consent.

We authorize you to view and download the Materials only for use benefitting the business identified at the time of purchase of the Workshop, provided that you keep intact all copyright and other proprietary notices contained in the original Materials. You may not modify or adapt the Materials in any way or otherwise use them for any public or commercial purposes. You may not share your password to access the Workshop materials with anyone, and the Workshop is only to benefit the business identified during your purchase of the Workshop.

NON-DISCLOSURE, CONFIDENTIALITY & NON-DISPARAGEMENT

Company takes pride in its proprietary information included in the Workshop. As such, Customer agrees and acknowledges all Confidential Information shared through this Workshop is confidential, proprietary, and belongs exclusively to the Company. “Confidential Information” includes, but is not limited to:

• Any systems, sequences, processes, or steps shared with Customer; • Any information disclosed in association with this Agreement; and/or • Any systems, sequences, processes, or trade secrets in connection with the Product or Company’s business practices.

If Customer is also a business owner or professional in a similar industry, Customer shall not misappropriate or disclose any of Company’s Intellectual Property and proprietary information in any way, including:

• Teaching Customer’s clients/customers/audience any of the information, methods, solutions, or formulae owned by Company and passing it off as Customer’s own; • Copying any of Company’s Product content and/or material for Customer’s commercial use; and/or • Copying, publishing, transmitting, transferring, selling, creating derivative works from, reproducing, or in any way exploiting any of the Intellectual Property owned by Company in either whole or part without prior written consent.

From time to time, Company may solicit feedback from you about the Workshop and use general statements about your success for testimonials as part of Company’s marketing strategy. You agree to Company sharing your success stories as testimonials in any manner across any media at the sole discretion of Company.

You agree to refrain from making any statements, whether oral or in writing, that negatively impact Company’s Workshop, business, services, products, or reputation.
